Alaska Communications Systems Internal Reorganization on September 8, 2015 Effecting a Pro Forma Transfer of Control of Northstar License Corporation, Holder of International Section 214 Authorization Attachment 1 Answer to Question 10: On September 8, 2015, Alaska Communications Systems Group, Inc. (“ACS”) effected an internal reorganization affecting its subsidiaries, Northstar License Corporation (international Section 214 and submarine cable landing license holder) and Alaska Northstar Communications, LLC (submarine cable landing license holder). Separate notice was provided on September 9, 2015 as to the pro forma transfer of control affecting the two submarine cable landing licenses. In this transaction, Crest Communications Corporation (“Crest”), a wholly-owned subsidiary of ACS, was made a wholly-owned subsidiary of Alaska Communications Systems Holdings, Inc. (“Holdings”), also wholly-owned by ACS. Crest is the immediate parent of WCI Cable, Inc., which in turn is the parent of Northstar License Corporation and Alaska Northstar Communications, LLC. As a result of this internal reorganization, Northstar License Corporation and Alaska Northstar Communications, LLC remain wholly-owned subsidiaries of WCI Cable, Inc., which remains a wholly-owned subsidiary of Crest. Crest now is wholly-owned by Holdings, which remains wholly-owned by ACS. This reorganization does not affect the day-to-day operations of Northstar License Corporation or Alaska Northstar Communications, LLC or their international facilities or licensed operations. This transaction is pro forma within the meaning of Section 63.24 of the Commission’s rules, 47 C.F.R. §63.24.
