Dear Ms. Dortch:

        By this letter, Airbus DS SatCom Government, Inc. (“Applicant”) respectfully withdraws the
nunc pro tunc waiver request that was included in the above-referenced application (“Application”).
In the Application, the parties request Federal Communications Commission consent to the transfer
of control of the Applicant from Airbus DS System Holdings, Inc. to Satcom Direct Communications,
Inc. The Applicant has filed a pro forma transfer of control notification for the prior corporate
restructurings that were the subject of the waiver request. See IBFS File No. ITC-T/C-IB2015-
001506.

         Finally, attached please find an amended version of Attachment 1 to the Applications, which
replaces the version of Attachment 1 that was filed with the Application. The amended version
removes the nunc pro tunc waiver request and provides additional information requested by FCC
staff regarding the licenses and authorizations held by the Applicant.

I.     INTRODUCTION AND SUMMARY OF THE TRANSACTION

        Airbus DS SatCom Government, Inc. (“Licensee”) is the holder of the authorizations
identified in Exhibit 1, which authorize the provision of international facilities-based and global
resale telecommunications services. Licensee is a direct, wholly owned subsidiary of Airbus DS
Systems Holdings, Inc. (“ADS”). ADS and Satcom Direct Communications, Inc. (“SDC” and,
together with ADS, the “Applicants” or “Parties”) hereby request Federal Communications
Commission (“Commission”) consent to the transfer of control of the Licensee from ADS to
SDC.

       On July 29, 2015, the parties and other shareholders entered into a stock purchase
agreement pursuant to which ADS is selling 100% of the outstanding shares in the Licensee to
SDC, which will result in the transfer of control of the Licensee from ADS to SDC. Upon
closing, the transaction would result in a transfer of control of the Commission licenses and
authorizations held by the Licensee, which are identified in Exhibit 1.1

        The acquisition of the shares in the Licensee will enhance competition in the satellite
services marketplace by giving Licensee the benefits of the robust operational expertise and
strong financial position of SDC.

Answer to Question 13

As discussed above, pursuant to the Agreement, ADS is selling 100% of the outstanding shares
in the Licensee to SDC, which will result in a transfer of control of the Licensee from ADS to
SDC. See Exhibit 2 for charts depicting the Licensee’s current and proposed ownership
structure. Upon closing, SDC would directly control the Licensee (through 100% ownership)
that holds FCC licenses and authorizations.


Answer to Question 14

In response to Section 63.18(i)

After consummation of the proposed transaction, the Section 214 holder will not be affiliated
with any foreign carriers.


Answer to Question 15

In response to Section 63.18(j)

After consummation of the proposed transaction, no entity that controls the Section 214 holder
will also control, or hold at least 25% of the voting or equity interests, in a foreign carrier.


Answer to Question 16

In response to Section 63.18(m)

Pursuant to Section 63.10(a)(3), the Licensee qualifies for non-dominant carrier status on all
international routes because it is not affiliated with any foreign carriers.

To the extent that the Commission evaluates local access markets based on a combination of
fixed and wireless connections, the Licensee will not be affiliated with any foreign wireless-only
carriers.

Licensee certifies that it has not agreed to accept special concessions directly or indirectly from
any foreign carrier with respect to any U.S. international route where the foreign carrier
possesses market power on the foreign end of the route and will not enter into such agreements
in the future.

Answer to Question 20

This Application qualifies for streamlined processing consistent with Sections 63.18(p) and
63.12 for the following reasons:

   (1) Applicant has no foreign affiliation with a dominant U.S. carrier.

   (2) Applicant has no foreign affiliation with a foreign carrier that owns only mobile wireless
       facilities. See Section 63.12(c)(1)(iii).

   (3) With regard to all other countries, the Licensee qualifies for a presumption of non-
       dominance under Section 63.10(a)(3), as described above in the response to Question 16.
       See Section 63.12(c)(1)(ii).


In response to Section 63.18(o)

Licensee certifies pursuant to §§1.2001 through 1.2003 of the Commission’s rules that no party
to the instant application is subject to a denial of Federal benefits pursuant to Section 5301 of the
Anti-Drug Abuse Act of 1988. See 21 U.S.C. § 853a.

III.     CONCLUSION

       For the foregoing reasons, the Parties respectfully request that the Commission
expeditiously consent to the proposed transfer of control of the Licensee from ADS to SDC.
