Talk.to changed its name in January 2015 to Riva FZC and that name has been changed by the FCC on the 214 license ITC-214-20140128-00033. Riva FZC is making a change in its ownership structure that will not affect the ultimate owner or controlling entity in the company. Response to Question #11 Question 11 requests disclosure of the name, address, citizenship, principal business, and percentage ownership of each person or entity that directly or indirectly owns at least ten (10) percent of the equity of the transferee, if any entity owns at least ten (10) percent of the equity of the transferee.

Riva FZC is owned directly by Talk.to Holdings. Please see attached Corporate Structure of Riva FZC. Response to Question #13 Pursuant to Section 63.24(d) of the FCC’s rules, Riva FZC seeks the FCC’s acceptance of the attached application, which notifies the FCC of the pro forma transfer of control, which occurred on July 1, 2015, of the Riva FZC Section 214 Authority under 63.18(e)(1) and 63.18(e)(2) of the FCC’s rules to provide global facilities based and resale service between the U.S. and International Points. The change in ownership at Riva is not a change in ultimate ownership or control of the company. Directi Web Technologies Holdings, which is one of the Intermediate Investments Holding Companies is being replaced by Riva Technologies Inc. Both Directi Web Technologies Holdings and Riva Technologies Inc. are 100% owned Directi Web Technologies FZC, which is owned by Bhavin Turakhia. Please see attachment labeled Investment Company Change that details the change.
