The pro forma transfer was accomplished by transfer of 53% of the stock in Diller Telephone Company to DTC by the William R. Sandman Revocable Trust and transfer of 47% of the stock in Diller Telephone Company to DTC by the Steven P. Sandman Revocable Trust. In exchange, the transferors received 53% and 47%, respectively of the voting common and non-voting common stock of DTC.
