This filing provides the notice required by Section 63.24(f)(2) of the pro forma transfer of
control of the Diller Telephone Company, the parent of Diode Cable Company which is, in turn,
the parent of Diode Telecom, Inc. from the William R. Sandman Revocable Trust to DTC
Holding Company (“DTC”) effective December 31, 2014. The pro forma transfer was
accomplished by transfer of 53% of the stock in Diller Telephone Company to DTC by the
William R. Sandman Revocable Trust and transfer of 47% of the stock in Diller Telephone
Company to DTC by the Steven P. Sandman Revocable Trust. In exchange, the transferors
received 53% and 47%, respectively of the voting common and non-voting common stock of
DTC. Simultaneously, Diller Telephone Company distributed all the common stock of Diode

Cable Company to DTC. Diode Telecom, Inc. remains a wholly owned subsidiary of Diode
Cable Company.
