Pursuant to ITC-T/C-20090902-00412, control of the authorization was transferred to Synergy Technology Partners, Inc. of which Ardmore is a wholly-owned subsidiary. Synergy Technology Partners, Inc. and West Kentucky Rural Telephone Cooperative Corporation, Inc. do not hold and have not in the past held Section 214 authority.

Answer to Question 11 Ownership Equity, pursuant to § 63.18(h) DIRECT OWNERSHIP Synergy, a Tennessee corporation, retains 100% direct control of Ardmore Section 214 authority (see ITC-T/C-20090902-00412). As such, there is no change to direct ownership of the Section 214 authority. INDIRECT OWNERSHIP As a result of a stock purchase, West Kentucky Rural Telephone Cooperative Corporation, Inc. (WK&T) owns 100 percent of Synergy Technology Partners, Inc. stock. WK&T is a Kentucky telephone cooperative owned by its member-subscribers. Box 649 Mayfield, KY 42066 Answer to Question 13 Means by which transfer of control has taken place Prior to the transaction, Ben Lomand Rural Telephone Cooperative, Inc. (Ben Lomand) owned fifty percent of the stock of Synergy and WK&T owned the other fifty percent with Synergy being controlled by WK&T’s Board of Directors. Pursuant to a stock purchase agreement executed between Ben Lomand and WK&T, WK&T acquired the 50% stock ownership of Ben Lomand, thereby becoming the sole shareholder of Synergy and the indirect holder of control of the Ardmore Section 214 authority. Ardmore Telephone Company, the holder of the Section 214 authority, remains a wholly- owned subsidiary of Synergy and will continue to operate under its Section 214 authority.
