                                     Description of Consummation

        On March 12, 2013, the Commission consented to the applications (“Applications”) of
Deutsche Telekom AG (“DT”), T-Mobile USA, Inc. (“T-Mobile USA”), and MetroPCS
Communications, Inc. (“MetroPCS” and collectively with DT and T-Mobile USA, the
“Applicants”) to transfer control of licenses, leases, and authorizations to a newly combined
entity (“Newco”).1 The transaction closed on April 30, 2013.

        Contemporaneously with the closing of the transaction, and as indicated in the Public
Interest Statement,2 MetroPCS Inc., a direct wholly-owned subsidiary of MetroPCS, merged
with and into MetroPCS Wireless, Inc. (“MetroPCS Wireless”), with MetroPCS Wireless as the
surviving corporation.3 Immediately thereafter, MetroPCS Wireless merged with and into T-
Mobile USA. Notifications will be filed separately for the pro forma assignment of licenses held
by MetroPCS Wireless.

        The internal governance policies of transferee, Deutsche Telekom AG (“DT”),
require the signatures of two legal representatives of DT to legally bind the company.
Wolfgang Kopf, Senior Vice President – Public and Regulatory Affairs, is signing this
FCC form on behalf of DT. Because the form provides for only one signature, the
Applicants have attached this exhibit so as to include a second “CERTIFICATION”
section for DT containing the certification and signature of Volker Stapper, Vice
President International Competition and Media Policy.
