No individual or entity owns or controls a ten percent (10.0%) or greater ownership or voting interest in HickoryTech. No other individual or entity will directly or indirectly own or control ten (10) percent or more of the equity or voting interests of IdeaOne after the proposed transaction. Answer to Question 12 Neither Transferors NDT and SERVE nor Transferee HickoryTech nor IdeaOne nor any of their subsidiaries or affiliates has any interlocking directorates with a foreign carrier. Answer to Question 13 The subject transfer of control will consist of the sale of all of the outstanding member-owner interests of IdeaOne, a North Dakota limited liability company, from Transferors NDT and SERVE (IdeaOne’s sole current member-owners) to Transferee HickoryTech. At the completion of the transaction, IdeaOne will be a 100 percent-owned subsidiary of HickoryTech. Control of IdeaOne will give HickoryTech control of IdeaOne’s International Section 214 authorization.
