The application was filed with the Federal Communications Commission ("FCC") on June 24, 2011, and this supplemental filing is being made in response to a request from Ms. Jodie May, of the FCC‘s Competition f ivici 7 7 itfi a ddAisinral isfhrmatinn in WC Policy Division, Wireline Competition Bureau, for the following additional information in WC Docket No. 11—107. MSouth Equity Partners GP, LLC and MSouth Equity Partners, LLC are both Delaware limited liability companies. UTC Acquisition Company, Inc. is a Tennessee corporation and a wholly—owned subsidiary of United Communications Holdings, LLC. United Communications Holdings, LLC will acquire 100% of the issued and outstanding equity interests of United Telephone Company by way of a reverse subsidiary merger in which UTC Acquisition Company, Inc. will merge with and into United Telephone Company, with United Telephone Company surviving the merger as a wholly—owned subsidiary of United Communications Holdings, LLC.

United Communications Holdings, LLC will acquire 100% of the issued and outstanding equity interests of UTC Long Distance, LLC by way of a reverse subsidiary merger in which UTC LD Acquisition Company, LLC will merge with and into UTC Long Distance, LLC, with UTC Long Distance, LLC surviving the merger as a wholly—owned subsidiary of United Communications Holdings, LLC.
