        Pursuant to sections 63.24(d) and (f) of the Commission’s rules, §§ 47 C.F.R 63.24(d),

(f), LatinTalk, LLC (“LATINTALK”) respectfully notifies the Commission of a non-substantial

pro-forma transfer of control of regarding its section 214 authorization, File No. ITC-20100622-

002262. One of LATINTALK’s shareholders has transferred its 10% interest to two other

shareholders.

                                     Description of the Transaction

        On May 30, 2011, Julio Cesar Bravo Estrada assigned its membership interest of 10% in

LATINTALK to the two remaining members, Jorge Aaron Ulloa Yong and Jose Luis Carrillo

Salas (5% each). As a result of the assignment of membership interest, the two named remaining

members have each raised their interest from 45% each to 50% each.

        Because LATINTALK continues to have control of the license, and the two remaining

members continue to have a controlling interest, the transfer of control is considered pro forma

under the Commission’s rules. See 47 C.F.R. 63.24(d) (“Transfers of control…that do not result

in a change in the actual controlling party are considered non-substantial pro forma.”); id., Note 2

(stating that “[t]ransfer by which certain stockholders retire and the interest transferred is not a

controlling one” is presumptively pro forma).
