THIRD SUPPLEMENT TO JOINT APPLICATION FOR CONSENT TO TRANSFER
INTERNATIONAL AND DOMESTIC AUTHORITY PURSUANT TO SECTION 214
OF THE COMMUNICATIONS ACT OF 1934, AS AMENDED

Tech Valley Holdings, LLC (“Holdings”), by its attorney, hereby submits the following

supplemental information at the request of the Commission staff and in connection with the

above-referenced application.

The staff has asked for additional information on the structure of Riverside Fund IV, L.P.

That information is provided herein.

The principal business of Riverside Partners IV, L.P. is investments, and it does not

participate in the day-to-day management of the entities acquired by the funds it manages. The

general partner of Riverside Partners IV, L.P. is Riverside Partners IV, LLC, a Delaware limited

liability company. David Belluck holds an interest in Riverside Partners IV, LLC of greater than

50%. Brian Guthrie holds an interest in Riverside Partners IV, LLC of less than 50%. Mr.

Belluck and Mr. Guthrie are the sole members of Riverside Partners IV, LLC. Riverside

Partners IV, L.P. is controlled by an investment committee composed of six members. They are

as follows:

David Belluck
Philip Borden
Frank Do
Brian Guthrie
Steve Kaplan
Jon Lemelman

As described in the initial supplement to the Joint Application, Mr. Belluck and

Mr.Guthrie each hold between 10 and 50 percent interest in Riverside Partners IV, L.P. The

other members of the investment committee all hold interests in Riverside Partners IV, L.P. of

less than 10 percent. All of the members of the investment committee are United States citizens,

and the principal business of each member of the investment committee is investments. The
