       law enforcement, foreign policy or trade concerns by C.O.B. Oct. 15, 2008, because we are

/      Applicationsforconsent to transfer control of international section 214 authorization (ITC—214—
B      19940830—00265) held by Smart City Telecommunications LLC (SCT), and of domestic section
       214 authority held by Smart City Telecommunications LLC and Smart City Solutions, LLC, from
       their sole member, Smart City Finance LLC (Smart City), to Hargray—Smart City Acquisition Co.,
       LLC (Hargray—SmartCity). Pursuant to a purchase agreement dated July 11, 2008, Smart City
       will transfer its membership interests in each of its wholly—owned subsidiaries to Hargray—Smart
       City.
       Hargray—Smart City is wholly owned by Hargray—Smart City Holdings LLC (HSCH).
       Quadrangle (AIV) Capital Partners II LP (Q(AIV)CP II), a Delaware limited partnership, has an
       83.65% ownership interest in HSCH, and Quadrangle Capital Partners II—A LP (QCP II—A), a
       Delaware limited partnership, has a 14.18% ownership interest. Both Q(AIV)CP II and QCP II—A
       are controlled by a common general partner, Quadrangle GP Investors II LP, the general partner
       of which is QCP GP Investors II LLC (QCP GPI II). Applicants filed a supplement on September
       23, 2008, to state that one of the eight (8) named individual managing members of QCP GPI II is
       an Irish national, and holder of a U.S. green card. No other individual or entity holds a 10
       percent or greater direct or indirect equity or voting interest in Hargray—Smart City or HSCH.

       The transfer application for domestic section 214 authority (WC DK. No. 08—170) appeared on
       Public Notice, DA 08—2063, rel. Sept. 9, 2008; the transfer application for the international
       section 214 authorization ( ITC—T/C—20080808—00366) appeared on Public Notice, Report No.


          TEL-OIBOSS, rel. Sept. 12, 2008. Each of the applicatic')ns‘vfill be removed from streamlined
          processing in light of the information we received on September 23. >
