Dear Sir or Madam:

Please review the followingapplications and advise us whether you have any national
security, law enforcement, foreign policy or trade concerns by C.O.B. November 7,
2007, because we are preparedto take action on these applications. Klectronic filed (e—
file) applications are able to be viewed by accessing www.fec.gov/ibfs and searching
by the file number.

TITC—T/C—20071010—00420(e—file)
Application for consent to transfer control of Section 214 authorization, ITC—214—20050812—
00320, held by HELIO LLC to SK Telecom USA Holdings, Inc. (Transferee). Transferee is
100% owned by a Korean Corporation, which, in turn, is 21.75% and 10.50% owned by other
two Korean corporations, respectively. HELIO and SK Telecom USA confirm that they will
continue to honor the commitments set forth in the January 10, 2006letter to the Executive
Agencies following consummation of the proposed transaction.

Pacifictel S.A.‘s application for authority to provide resale services between the United
States and permissible international points. Applicant is corporated and located in
¥cuador. Further, applicant is 100% owned by Fondo de Solidaridad, an autonomous
entity created under section 250 of EKeuador Constitution. Fondo de Solidaridad also
controls Andinatel which is presumed to possess telecommunication marker power in
Ecuador. Applicant agrees to file the traffic reports requiredby §43.61(c) of the
Commission‘s rules.


          If we do not hear from you by C.O.B. November 7, 2007, we will assume that you do
          not have any concerns with the above listed applications.
