                  ITC—T/C—2007—0621—00240; Response to Staff‘s Informal Inquiry Regarding
                 Attebury Companies, Inc.

Dear Ms. Dortch:

       During review of a pending application to transfer control of AMA Communications, LLC
("AMA") to a third party, it was discovered that the Commission‘s records do not reflect that the
Commission received notice of consummation from the parties of a previously—authorized
assignment of international 214 authority. This letter is being provided on behalf of AMA in
responseto informal Commission staff inquiries about the consummated transaction.

        Please accept this letter as notice to the Commuission ofthe consummation ofthe transaction
assigning ITC—214—1998—0622—0430 to AMA. The transaction was identified in the Commission‘s
records as ITC—ASG—2002—1213—00597 and notice ofthe Commission‘s approval of the transaction
was published on February 13, 2003. The U.S. Bankruptcy Court heard Tech Telephone Company,
L.P.‘s first amended Plan of Reorganization on July 28, 2003. On October 2, 2003, Tech Telephone
Company, L.P. certified to the U.S. Bankruptcy Court that the parties transferred all or substantially
all of the property proposed by the confirmed Plan of Reorganization. That transfer included the
assignment of the international 214 authorization associated with ITC—214—1998—0622—0430. On
October 21, 2003, the court entered its final decree in the case, closing the bankruptcy case.

        The current application to transfer control of AMA is being considered in ITC—T/C—2007—
0621—00240. AMA Communications, LLC is a wholly—owned subsidiary of Attebury Companies,
Inc., as illustrated in the Pre—Transaction Relationships diagram attached to the AMA transfer of

control application. At the time of the original transaction assigning ITC—214—1998—0622—0430 to
AMA, AMA was a wholly—owned subsidiary of AMA Wireless, LL.C. AMA Wireless, LL.C.
subsequently acquired another company and changed the name ofthe surviving company to Attebury
Companies, Inc. Thus, the current owner of AMA is the same entity that owned AMA at the time of
the original assignment.
