Dear Ms: Dortch:

      Nobel Holdings, Inc., transferor in the above applications, provides this information for
the Commission’s records regarding changes in the parties with an interest in its parent,
American Broadband Acquisition, II.

       The Application for Transfer of Control, referenced above was granted by the Wireline
Competition Bureau on March 6, 2006, DA 06-525, and by the International Bureau on March
17, 2006, DA 06-642 (rel. March 23, 2006. Subsequent to these grants, transferee Noble
Holdings, Inc. has decided to make certain changes in its ownership structure. These changes
include an increase in Nobel’s ownership of the carriers from 73.8% to 100% and eliminate the
26.2% ownership of the carriers by Nobel’s affiliate, American Broadband Capital, IncNoble
will continue to be 100% owned by American Broadband Acquisition Corporation II (“ABAC
II”).

        ABAC II, however will now be 100% owned by American Broadband Communications,
LLC. Signal Equity Partners II, that was listed in the Application as a 40% owner of ABAC II,
will now play no part in the transaction. This change will eliminate the foreign ownership
element of the Signal Equity Partners II participation.
