OF CONTROL Operator Service Company ("OSC") hereby requests authority, ptrsuant to Section 214 of the Communications Act of 1934, as amended, 47 U.S.C. Section 214, and Section 63.18 of the Commission‘s Rules, 47 C.F.R. Section 63.18, to transfer control of the company to Billing Concepts Corp. OSC seeks to sell 100% of its stock to Billing Concepts Corp. ("BCC"), a domestic corporation organized under the laws of the State of Delaware. This transfer of stock will result in a stronger financial position from which to continue providing quality service options to customers of OSC. In support of OSC‘s request for authority to transfer control, the following information is submitted pursuant to Section 63.18 of the Commission Rules, 47 C.F.R. Section 63.18. (b) OSC is a company organized under the laws of the state of the State of Texas on April 29, 1992. The company previously obtained authority on October 20, 1992 (ITC 92—217) to resell the telecommunications facilities of other common carriers andis not a facilities—based carrier. International telecommunications services are obtained by OSC from other common carriers who are currently authorized by the Commission to provide international service. BCC is not a certificated entity as it does not offer domestic retail telecommunications services. BCC provides the Revenue Support Systems (RSS) to communications—based businesses through a variety of delivery systems including hosted transaction processing, supported software and Internet—based solutions. (e) — (g) Not Applicable. (h) OSC and BCC certify that neither company is a foreign carrier nor is either entity

affiliated with any foreign carrier. OSC and BCC further certify that neither has an affiliation with any U.S. carriers whose facilities—based services OSC resells or proposes to resell. Effective concurrent with the closing of the transaction between BCC and OSC, BCC will hold 100% of the stock of OSC. In support of this request for transfer, OSC and BCC submit the following information of its ten percent (10%) or greater direct and indirect shareholders or other equity holders. OSC . indirectly from any foreign carrier with respect to any U.S. international route where the foreign carrier possesses market power on the foreign end of the route and will not enter into such agreements in the future. (0) OSC and BCC certify that neither OSC nor BCC nor any party of this application is subject to a denial of Federal benefits, as provided in the Anti—Drug Abuse Act of 1988, 21 U.S.C. 853a. (p) This Application qualifies for streamlined processing under Section 63.12, because (i) OSCis not a foreign carrier, nor does it control a foreign carrier as defined in Section 63.09(d), in any destination market. — (ii) No two or more foreign carriers, or parties that control foreign carriers, own more than 25% of OSC, or are parties to or beneficiaries of a contractual relation affecting the provision or marketing ofinternational basic telecommunications services in the United States. (iii) No owner of OSC controls a foreign carrier in any country. (iv) _OSC has no affiliation with a dominant US carrier whose international switched or private line services which OSC seeks to resell. (v) OSC seeks authority to provide switched basic services over private lines only to countries for which the Commission has previously authorized the provision of switched services over private lines. As demonstrated in this application, Billing Concepts Corp. is legally qualified to own controlling interest in Operator Service Company. For the reasons stated above, the applicants submit that the public interest, convenience and necessity would be furthered by a grant of this Section 214 request for transfer of control. CONCLUSION As demonstrated in this application, Billing Concepts Corp. is legally qualified to own controlling interest in Operator Service Company.
