Before the FEDERAL COMMUNICATIONS COMMISSION Washington, D.C. 20554 In the Matter of Bresnan Communications Company Limited Partnership Charter Communications VIII, LLC File No. I-T-C Application for Transfer of Control Pursuant to Section 214 of the Communications Act of 1934, as Amended, And Section 63.18(e)(3) of the Commission's Rules APPLICATION Bresnan Communications Company Limited Partnership ("BCC") and Charter Communications VIII, LLC ("CC VIII") (together, "Applicants"), pursuant to Section 214 of the Communications Act of 1934, as amended (47 U.S.C. § 214) and Section 63.18(e) of the Commission's Rules (47 C.F.R. § 63.18(e)), hereby apply for approval of a Transfer of Control to CC VIII of BCC's indirect subsidiary, Bresnan Telephone Company of Michigan, L.P., which previously was granted authority by the Commission to resell the services of other carriers to provide telecommunications services between the United States and various international points.1 This application is necessitated by the fact that CC Viii's parent, Charter Communications Holding Company, LLC, has agreed to purchase all partnership interests in BCC. The Section 214 authority previously granted by the Commission will continue to be held in the name Bresnan Telephone of Michigan, L.L.C., which will become a subsidiary of CC VIII. This application is qualified for streamlined processing pursuant to Section 63.12 of the 1Overseas Common Carrier Section 214 Application Actions Taken, Report No. 1-8268, 12 FCC Rcd 17463 (1997).

Commission's Rules. Accordingly, Applicants respectfully request streamlined processing of this routine application pursuant to Section 63.12 of the Commission's Rules. By granting this application, the Commission will serve the public interest, convenience and necessity by continuing to promote competition in the international service market. Competition will benefit U.S. consumers by increasing service options and lowering prices. Thus, the public interest will be served by the continuance of Section 214 authority Bresnan Telephone Company of Michigan, L.L.C. under new ownership and control. Specifically, CC VIII requests continuation of the authority to resell the international services of authorized U.S. common carriers for the provision of international basic switched, private line, data, television and business services to all international points. CC VIII further states that it will comply with all terms and conditions set forth in Section 63.18(e)(2)(ii) of the Commission's Rules. CC VIII proposes no change at present in the name of the entity which will hold the 214 authority - Bresnan Telephone of Michigan, L.L.C. 3

CC VIIPs proposal conforms to the terms and conditions of Section 63.1 8(e)(2), and is subject to streamlined processing pursuant to Section 63.12 of the Commission's rules.
