("USST") hereby requests authority to transfer control of its Section 214 authorization to Thorneville Holdings Inc. ("Thorneville"). I. Preamble USST is a Florida corporation organized to provide international switched telecommunications services on a resale basis. Specifically, USST provides International Message Telephone Service, which includes Call—back type service. USST does not offer any other types of service to its customers. USST has no foreign affiliations. By this application, USST requests that the Commission consent to the transfer of control of USST to be effected by the purchase by Thorneville, of 60% of the common stock of USST

from Hector C. Megy ("Mr. Megy"), the holder of approximately 61.26% of USST‘s common stock. The public interest will be served by a transfer of control of USST to Thorneville. By granting this application, the Commission will ensure that USST has the sound financial strength necessary to expand and vigorously competein the international services market. This competition will benefit consumers by increasing service options and lowering prices, thereby serving the public interest, convenience, and necessity. IL. Information required by Section 63.18 The following information is submitted, as required by Section 63.18 of the Commission‘s Rules, in support of the transfer of control of USST to Thorneville. Conclusion As described above, a grant of this application will serve the public interest, convenience and necessity by promoting competition in the provision of international telecommunications services.
