Tel—Pan to provide international facilities—based and resale service between the Unites States and international points. The Applicants request that the International Bureau process the Application under the streamlined procedures set forth in Section 63.12 of the Rules, 47 C.F.R. § 63.12. 1. THEPARTIES A. Tel—PanTeleportCorporation Tel—Pan is a Florida corporation whose voting stock is owned by Nicolas Ardito Barletta P. (the President and 34% shareholder of Tel—Pan), Anne Louise Carricarte (the Secretary amd 33% shareholder of Tel—Pan), and Denise Isabel Kardonski (the Treasurer and 33% shareholder of Tel—Pan). Mr. Barletta, Ms. Carricarte and Ms. Kardonski are citizens of the United States. Tel—Pan was granted Section 214 authorify to provide international switched service and resale service between the United States and various international locations. The Commission‘s approval is stated in File No. ITC—98—080 (effective March 13, 1998). Tel—Pan is considered a non—dominant carrier under the Commission‘s rules. It is respectfully submitted that, after completion of the transaction described herein, Tel—Pan will continue to be qualified to operate as an authorized non—dominant international carrier. B. Tel—Pan Communications Corporation. The Transferee, a corporation organized under the laws of the State of Florida, is a wholly—owned subsidiary of Latinet, Ltd., a corporation organized under the laws of the British Virgin Islands. Latinet, Ltd. is wholly—owned by Latinet Holding Corporation, a corporation organized under the laws of the Republic of Panama. The largest shareholders of Latinet Holding Corporation are Universal Selling Co., a company organized under the laws of Panama,

Inversiones Tacoa, S.A., a Venezuelan publicly—traded corporation and a Trust for the Grandchildren of Mr. Frank Kardonski, organized under the laws of the State of Florida. C. DescriptionofTransaction The stock of Tel—Pan consists of 20,000 authorized shares of common stock, par value $0.01 per share (the "Common Stock"), of which 100 shares are issued and outstanding. Pursuant to the proposed transaction, Tel—Pan will newly issue 19,900 shares of Common Stock to the Transferee, in consideration for the cancellation by the Transferee of certain debt obligations owed by the Transferor to the Transferee. After the proposed transaction is consummated, Tel—Pan will continue to exist as a separate operating entity, will maintain its Certification, and will continue to offer resold international switched voice and data services to the public. Thus, there will be nodiscontinuation of service to the public. The Transir‘efée will not propose any change to the scope of resale service provided by Tel—Pan. No significant change in key opérating personnel of Tel—Pan is anticipated at this time. Through its ownership of a controlling stock interest in Tel—Pan, the Transferee will provide the financial and managerial capability necessary for the continued successful ope:ratiofi of Tel—Pan. D. Grant of the Application Will Serve the Public Interest, Convenience and Necessity The Applicants believe that the proposed sale of Tel—Pan‘s stock will serve the public interest, convenience and necessity. The Transferee will apply its management skills to make more efficient use of Tel—Pan‘s facilities to provide services to the public. The Transferee expects to be able to enhance Tel—Pan‘s service and offerings, and make Tel—Pan an effective service provider and competitor in the telecommunications marketplace. This will benefit the public by the offering of diverse services with significant operating efficiencies and service

quality. The proposed transfer of control of the Certification also is in the public interest because the transfer will promote Tel—Pan‘s competitive provision of services in the international switched voice and data market. Because the proposed transfer of control is in the public interest, the Transferor and the Transferee respectfully request the Commission to grant this Application. III. Conclusion For the reasons stated herein, the Transferors and the Transferee respectfully submit that the public interest, convenience and necessity would be furthered by grant of this application for consent to the transfer of control of Tel—Pan Teleport Corporation to Tel—Pan Communications Corp. The Applicants respectfully request that the Commission authorize the transfer of control described herein to permit the Applicants to consummate the transaction as soon as possible.
