Klein (202) 324—0853 Re: STA Requests for NexUStel/Cassara/Nexitos Dear Sir or Madam: On April 20, 2009, we received requests for Special Temporary Authority (STA) from NexUStel, LLC, Cassara Acquisition Group, LLC, and Nexitos, LLC (collectively, "Applicants") regarding a transfer of control in which Nexitos acquired 100% ofthe voting interest in NexUStel from Cassara on December 18, 2008. Nexitos is owned by three citizens of Chile. Applicants did not seek FCC approval prior to this transfer of control of NexUStel. NexUStel provides domestic service and international global facilities—based andresale services, and has filed an STA request for transfer of its domestic services and an STA request for transfer of its international authorization (ITC—STA—20090420—001,69), as required by FCC policies andrules. The STA requests are attached. Applicants acknowledge that the grant of these STAs will not prejudice any action the Commission may take on the underlying applications —<ITC=T/C:20090408—:00153 and the corresponding domestic application. Applicants further acknowledge that these STAs can be revoked by the Commission uponits own motion without a hearing, and that grant of an STA and the underlying application will not preclude enforcement action. Please review the attached STA requests and advise us whether you have anynational security, law enforcement, foreign policy or trade concerns by Noon®April29,2009 because we are prepared to take action on these STA requests. The transfer of control of NexUStel on December 18, 2008, is the first step of a two step transaction. In the second step Greentel, LLC will acquire a 50% ownership interest in NexUStel from Nexitos. Greentel is 50% owned by a citizen of the Dominican Republic. The Applicants have now filed applications for both parts of this transaction and we will refer the international applications (ITC—L/C—20090408:00153. and ITC=T/C= = : ;20090416©00166)and the corresponding domestic applications once the Wireline _ ’ Competition Bureau places the domestic applications on public notice and the comment date is established.
