In response to an inquiry from the Commission staff, the applicants supplement the referenced
international Section 214 application as follows:

As the application states at Section III, American Broadband Acquisition Corp. (“ABAC”)
proposes to transfer to USConnect Acquisitions II, Inc. (a subsidiary of USConnect Holdings,
Inc.) all of the outstanding capital stock and membership interests ABAC holds in S&A
Telephone Company, Inc., S&A Communications, Inc. d/b/a S&A Long Distance (“S&A
Communications”), Waverly Hall Telephone, L.L.C., and Waverly Hall Communications, Inc.
(“Waverly Hall Communications”).

In the referenced Section 214 application, ABAC requests authority for a partial assignment of
international 214 authorization it currently holds (File No. ITC-214-20000310-00140) to
USConnect Holdings, Inc. while also retaining in ABAC’s name the international Section 214
authorization ABAC currently holds. As the Commission’s records reflect, ABAC obtained the
international Section 214 authorization by a pro forma assignment from Eastern Kansas
Holdings, Inc. in File No. ITC-ASG-20090717-00335 (see Public Notice, October 29, 2009,
Report No. TEL-01393).

It is requested that USConnect Holdings, Inc. be issued international Section 214 authorization
by a new file number to authorize the continuation of international Section 214 global resale
services by S&A Communications which will be a wholly owned indirect subsidiary of
USConnect Holdings, Inc. upon consummation of the proposed transactions. Thus, S&A
Communications will continue to be an international global resale service provider that, upon
consummation of the proposed transactions, will rely upon international Section 214
authorization to be held by its ultimate controlling company, USConnect Holdings, Inc. After the
transaction occurs, USConnect Holdings, Inc. will comply with the notification requirement of
Section 63.21(h).

Accordingly, ABAC will retain its authorization in File No. ITC-214-20000310-00140 and,
through a partial assignment, a new international 214 authorization is requested in the name
USConnect Holdings, Inc.
