Kajeet/Airlink, LLC FCC Form 214 Attachment 1 Answer to Question 13 Pursuant to a Secured Party General Conveyance and Bill of Sale dated April 3, 2009 by and between Airlink Mobile, Inc. and LV Administrative Services, Inc. as agent, and pursuant to and in exercise of its rights as a secured party in consideration of the payment by Kajeet/Airlink, LLC to LV Administrative Services, Inc. for the benefit of Valens Offshore SPV II, Corp., Airlink sold to KAL the prepaid calling card customer base and agreed to transfer all licenses relating thereto. KAL acquired all of the telecommunications assets of Airlink, including but not limited to Airlink’s customer accounts, pursuant to Article 9 of the Uniform Commercial Code adopted by the State of New York. Prior to the consummation of the transaction on April 3, 2009, Airlink had been suffering financial difficulties, and its customers were on the brink of experiencing disconnection of their telecommunications service. As a result, KAL acquired the assets of Airlink in order to ensure uninterrupted service to Airlink’s customers. Due to the exigent circumstances which existed at the time of the Closing, KAL acquired Airlink’s customer base even though it did not, at that time, have authority from the FCC for the transfer.
