Attachment 1 FCC 214 Mosinee Telephone Company, LLC (b) Statement of previously received Section 214 Authority: Mosinee Telecom, LLC was granted authority, effective May 27, 2005 under Section 214 of the Act, in FCC File No. ITC-214-20050425-00175, to resell services internationally. TDS Telecom, through its competitive local exchange carrier (CLEC) TDS Metrocom, LLC, was granted authority, effective on March 27, 1998 under Section 214 of the Act, in FCC File No. ITC-214-19980210-00094, to resell services internationally. TDS, parent company of TDS Telecom, is engaged in the business of acquiring and operating, as a holding company, telephone and other companies primarily in the communications industry. Multiple subsidiary companies held by TDS also hold Section 214 authority. TDS Telecom was granted authority for transfer of control of Mosinee Telephone Company, LLC. effective May 1, 2008, File No. ITC-TIC-20080310-00142. Response to Question 11: Name, Address, Citizenship, Principal Businesses and Ownership Interest of Owners of Ten Percent or More of Each Applicant. Transferee: As noted above, Mosinee Telephone is a wholly owned subsidiary of TDS Telecom which is in turn, a wholly owned subsidiary of Telephone and Data Systems, Inc. ("TDS"). TDS is controlled by a Voting Trust whose trustees are LeRoy T. Carlson, Jr, Walter C.D. Carlson, Prudence E. Carlson, and Dr. Letitia G.C. Carlson. They are brothers and sisters and U.S. citizens. The address of the trust is TDS's business address: 30 North LaSalle Street Chicago, IL 60602 LeRoy T. Carlson, Jr. is the President of TDS and Walter C. D. Carlson is its Chairman. The Voting Trust controls 53.6% of the voting power of TDS's total shares that vote in matters other than the election of directors and 94.6% of the Series A Common Shares which elect eight of TDS's 12 directors. No other individual or entity controls 10 percent or greater voting interest in TDS. Attachment 1 FCC 214 Mosinee Telephone Company, LLC Response to Question 13: Mosinee Telephone Company ("Mosinee Telephone" or "Assignee") and its wholly owned subsidiary Mosinee Telecom, LLC ("Mosinee Telecom" or "Assignor"), pursuant to Section 214 of the Communications Act of 1934, as amended, 47 U.S.C. § 214 (the "Act"), hereby notifies the Commission of the pro forma assignment of the international global resale Section 214 authority held by Mosinee Telecom, LLC, File No. ITC-214-20050425-00175 to its parent company Mosinee Telephone. The structure of the transaction is as follows. On April 1, 2011, Mosinee Telecom, WWI LLC, merged with and into Mosinee Telephone, a Delaware LLC and a wholly owned subsidiary of TDS Telecommunication Corporation ("TDS Telecom"). Mosinee Telephone is the surviving entity of the merger and will continue to be a wholly owned subsidiary of TDS Telecom. #10293539_v1 3
