ITC—A¥ASG—20090616—00286 & ITC—ASG—20090616—00287 Dear Ms. Dortch: Pursuant to Sections 1.65 and 63.50 of the Commission‘s rules, 47 C.F.R. §§ 1.65, 63.50, Cellco Partnership d/b/a Verizon Wireless ("Verizon Wireless") and Atlantic Tele—Network, Inc. ("ATN‘) (collectively "the Parties") hereby amend, as a matter of right, the above referenced applications. Verizon Wireless and ATN have sought Commission approval for the assignment and transfer of control of wireless licenses and the partial assignment of international Section 214 authority from Verizon Wireless to a newly—formed holding company, Adams Divestiture Company LLC ("Adams LLC"), to be indirectly owned and controlled by Atlantic Tele— Network, Inc. ("ATN"). The Parties hereby amend the lead application to notify the Commission that ATN‘s direct wholly—owned subsidiary that will hold the membership units of Adams LLC upon consummation of the transaction, which was formerly known as Atlantic Wireless Communications, LLC ("Atlantic Wireless"), has undergone a name change and been converted to a corporation, and is now named Allied Wireless Communications Corporation ("Allied Wireless"). References to Atlantic Wireless in the above—referenced applications should be read to refer to Allied Wireless. The proposed controlling party of the assignee still ultimately remains ATN, so the change is not substantial or decisionally significant. See 47 C.F.R. § 63.24(d) Note 1 ("change in form of the business entity" is presumptively pro forma and not subject to prior approval). The amendment is thus minor in nature.
