Application for consent to the assignment of certain assets and relatedliabilities belonging to
Charter Fiberlink, LLC (Charter Fiberlink) to Midcontinent Communications (Midcontinent).
Pursuant to the terms of an Assets Purchase Agreement dated October 7, 2008, Midcontinent will
acquire from Charter Fiberlink all of its assets used to provide international service in the
communities of Fairmont and Sherburn in Minnesota. Midcontinent will provide international
service to its newly acquired customers pursuant to its existing international section 214
authorization, ITC—214—20010606—00327. Charter Fiberlink will continue to provide services to
its remaining customers pursuant to its international section 214 authorization, ITC—214—
20030127—00071.

Midcontinent Communications Investor, LLC (Midcontinent Investor) and TCI—Midcontinent,
LLC (TCI—Midcontinent) each have a 50% ownership interest in Midcontinent. Midcontinent
Investor is 100 percent owned by Midcontinent Media, Inc., a privately—held Minnesota company
in which Larry Bentson holds a 95.81% ownership interest. TCI—Midcontinent is wholly—owned
by Comecast Corporation, a public company in which no individual or entity holds a 10 percent or
greater direct or indirect equity or voting interest.

As requested by Ms. Mukhoty when we spoke earlier today, I have attached an electronic copy of the letter I filed with the
Commission yesterday withdrawing the December 3, 2008 joint Section 214 application filed by Midcontinent
Communications and various Charter entities. As described in the letter, this withdrawal does not affect the subsequent
Section 214 application filed by the same parties on December 17, 2008.
