Dear Sir or Madam:

         IT&E Overseas, Inc. (IT&E) and PTI Pacifica Inc. (PTI Pacifica) request approval for the
assignment ofinternational and domestic section 214 authorizations from IT&E to PTI Pacifica.
In addition, Pacific Telecom Inc. ("Pacific Telecom" or "PTI") filed a petition seeking a
declaratoryruling that the potential acquisitionby its wholly—owned subsidiary PTI Pacifica of
wireless licenses that are subject to FCC Auction 73 for the 700 MHz band is consistent with the
public interest standard under Section 310(b)(4) of the Communications Act of 1934, as amended
(the Act). On April 25, 2008, PTI updated petition makes express PTT‘s request that (1) grant of
the declaratory ruling and (2) grant of 700 MHz wireless licenses acquired in Auction 73 both be
conditioned on PTI‘s compliance with the terms of the Agreement between MTC and Pacific
Telecom Inc., and the U.S. Department of Justice, Federal Bureau of Investigation, U.S.
Department of Defense, and the U.S. Department of Homeland Security dated October 6, 2003,
pursuant to Section 7.2 of that Agreement. (See 2003 BANZHI—PTI Order, 18 FCC Red 23140
(2003)).

        The following entities own at least 10 percent of the equity of PTI: Prospector
Investments Ltd. (Prospector) (75%) and Sumitomo Corporation (Sumitomo) (25%).
Prospector, a Cayman Islands investment entity, is directly owned by two related
individuals, both of whom are citizens of the Philippines: Ricardo C. Delgado (60%)
and Jose Ricardo Delgado (40%). Applicants state that, Sumitomo, a Japanese holding
company, is publicly traded in Japan, and no entity owns 10 percent or more of this
company.

For your information, GTA TeleGuam, LLC filed the attached letter regarding the PTIIT&E
transaction through ECFS on June 19, 2008. The letter argues that there is a national security
issue with the transaction. Please note that DOJ/FBI/DHS officially withdrew its request to defer
action on the above reference applications and petition for declaratory ruling regarding the
transaction on June 5, 2008. The Commission has not acted onthis application for transaction.
