Sumita, Pursuant to our telephone conversation yesterday, this email will confirm several items concerning the pro forma 214 filing by Hood Canal Communications Long Distance, Inc. (HCLD) and Hood Canal Telephone Co., Inc. (HCTC). 1. The transaction is a merger of HCLD with and into HCTC, with HCTC as the surviving entity. 2. HCLD no longer exists. 3. The transaction closed effective February 14, 2008 with the filing of Articles of Merger with the Washington State Secretary of State (note that the original filing at the FCC occurred March 14, 2008). 4. HCTC is operating under the interstate and international authorities held by HCLD and will continue to operate under those authorities in the future. 5. Both HCTC and HCLC were under the ultimate ownership of Richard F. Buechel (with some minor amounts below the FCC threshold held by other persons) and HCTC continues to under the ultimate ownership of Richard F. Buechel after the merger. 6. As a result, we believe this is a pro forma assignment for Section 214 purposes with HCLD as assignor and HCTC as assignee. Thank you for your assistance in this matter.
