PTI was granted a 214 in July of 1997. It is to construct and operate fiber optic cable
facilities in North Dakota to the Canadian border near Pembina, ND, connecting with
facilities in Canada to be provided by the Manitoba Telephone Company. Also, to use
said facilites to provide regularly authorized services, including switched voice and data
and private line services, between the United States and Canada.


Answer to Question 13

PTI is a six exchange, 2194 access line company, that has operated as a wholly owned
subsidiary of Polar Communications since 1996. Beginning January 1, 2005 PTI
merged into Polar Communications, a cooperative, and Polar Telecommunications (PTI)
ceases to exist. PTI was the previous holder of the 214, File I-T-C-97-283, and we wish
to transfer that 214 into Polar’s name.

Prior to the merger the company structure was as follows:
Parent Company
Polar Communications: The original cooperative with members receiving capital credits
and holding voting rights.

       Wholly Owned Subsidiaries
       Polar Telecommunications: A series of exchanges that were purchased after the
       cooperative had been formed. Subscribers did not receive capital credits or hold
       voting rights.
       Polar Cablevision: The cable television company. No capital credits or voting
       rights.
       Polar Telcom: A competitive local exchange carrier in Mayville, ND as well as
       the wireless internet provider in non-Polar exchanges. No capital credits or
       voting rights.
       Wolverton Telephone Company: Three exchanges purchased 10/1/04. No capital
       credits or voting rights.

Post merger the company structure is as follows:

and holding voting rights. Former Polar Telecommunications subscribers are now
members receiving capital credits and holding voting rights.

       the wireless internet provider in non-Polar exchanges. No capital credits or

       credits or voting rights.

There was not a merger agreement involved. The merger was voted on by the members
of the cooperative at the annual meeting in June of 2004. A news release was issued to
all newspapers in the service area announcing the merger. Also, a company newsletter
with notification of the merger was mailed to all members of the cooperative.

The assignment transaction has been consummated as of 1/1/05.

At the time of the merger, all assets and liabilities of Polar Telecommunications were
assigned to the books of Polar Communications. Polar Telecommunications ceases to
exist. There is no international customer base.
