(Debtor-in-Possession) (“Accipiter DIP”) and Accipiter Communications, Inc., to be controlled by Pinpoint Holdings, Inc. (“Pinpoint”), filed an application (“Application”) to request approval of the Federal Communications Commission for the assignment of the domestic and international Section 214 authorizations held by Accipiter DIP from Accipiter DIP to Accipiter Communications, Inc., as reorganized pursuant to Chapter 11 of the United States Bankruptcy Code (“Reorganized Accipiter”), which will be controlled by Pinpoint. This letter is being submitted to confirm that the individuals who will serve as officers and directors of Reorganized Accipiter upon consummation of the transaction as described in the Application are citizens of the United States.
