File No. ITC—214—20020306—00105 Dear Ms. Dortch: Pursuant to Section 63.21(h) of the Commission‘s rules, 47 C.F.R, § 63.21(h), Comsat International, Inc. ("Comsat International") notifies the Commission that GBNet Corporation ("GBNet"), a corporation organized under the laws of the British Virgin Islands and a wholly— owned direct subsidiary of Comsat International, has been providing service pursuant to the above—referenced international Section 214 authorization since December 29, 2005.‘ The referenced Section 214 authorization provides authority for Comsat International andits wholly— ‘~ owned subsidiaries to provide facilities—based and resold international services under Section 214 of the Communications Act, as amended, 47 U.S.C. § 214. Please contact the undersigned if you have any questions regarding this notification. Yourspuly, Philip M. Walker Executive Vice President ‘ Comsat International concurrently is notifying the Commission that it underwent a corporate reorganization on December 29, 2005 which resulted in the pro forma transfer of control ofits indirect subsidiary GBNet from CI—CCI Aequisition Corporation ("CI—CCI"), which is majority owned by Comsat International, to direct control by Comsat International, See Notification of Pro Fotma Transfer of Control of GBNet Corporation (filed Jan. 18, 2007). As further explained in that notiffcation, GBNet previously was a wholly—owned direct subsidiary CI—CCI and thus operated under CJ—CCI‘s international Section 214 authorization. See Letter from Philip Walker, CI—CCI Acquisition Corporation, to Marlene Dortch, Federal Communications Commission, in reference to File No. ITC—214—20001122—00754 (Nov. 2, 2005). As a result of the corporate reorganization, GBNet became a wholly—owned direct subsidiary of Comsat International (and thus a sister corporation to CI—CCIT).
