(“Verizon”), which previously held a 55 percent controlling partnership interest in Cellco Partnership d/b/a Verizon Wireless (“Verizon Wireless”), acquired the minority, non-controlling 45 percent partnership interest in Verizon Wireless that was previously indirectly held by Vodafone Group plc. This transaction was consummated on February 21, 2014 and Verizon thus now owns 100 percent of Verizon Wireless. Out of an abundance of caution, Verizon Wireless is filing this letter to notify the Commission of this pro forma transfer to the extent it affects Verizon Wireless’ 40 percent non-managing general partner interest in Illinois Valley Cellular RSA 2-II Partnership (the “Partnership”) and the above-referenced FCC licenses held by the Partnership.1 More information about this transaction can be found at ULS File No. 0006134799.
