APPLICATION FOR AUTHORITY TeleNova Communications Corporation ("TeleNova") hereby requests authority, pursuant to Section 214 ofthe Communications Act of 1934, as amended, 47 U.S.C. Section 214, and Section 63.01 of the Commission's Rules, 47 C.F.R. Section 63.01, to resell the international telecommunications services of other common carriers between the United States and various international points. TeleNova is a corporation organized under the laws of the state of Delaware. The company intends to resell the telecommunications services of other common carriers and is not a facilities- based carrier. TeleNova's service will be offered for use by residential consumers, business customers with foreign offices, foreign firms with US operations, or other individuals and entities who subscribe to the company's interstate and/or intrastate services. Through TeleNova's, customers may originate calls from locations within the United States to other countries, and from foreign locations to terminate in the United States. The company seeks authority to resell international telecommunications services to better serve its customers by offering a full range of call termination options. By providing international calling services TeleNova will be able to offer its customers valuable service at competitive rates. FCC Section 214 Application TeleNova Communications Corp. Page 1

International telecommunications services will be obtained by TeleNova from other common carriers who are currently authorized by the Commission to provide international service. Initially, TeleNova will only resell international switched services. However, TeleNova requests authority to resell private line service in the future as contemplated under Section 63.18 (e) (2) and subject to the restrictions imposed therein. The provision of international service by TeleNova will not have any significant impact on the general provision of such service to the public. However, additional competition in the market - including the competition of TeleNova - benefits consumers of international telecommunications services. The benefits of competition include lower prices and increased availability of a variety of service options. Thus, the grant of this authorization is consistent with the public interest. In support of TeleNova's request for authorization, the following information is submitted pursuant to Section 63.18 of the Commission Rules, 47 C.F.R. Section 63.18. (h) In support of this certification, TeleNova submits the following information of its ten percent or greater direct and indirect shareholders or other equity holders. TeleNova is a wholly owned subsidiary of TeleNova Corporation, a Delaware Corporation. TeleNova Corporation is primarily owned (94%) by TeleNova Overseas, a British Virgin Islands corporation. Applicant is wholly owned by TeleNova Corporation, a U.S. provider of internet telephony services. Applicant is a sister company to TeleNova International Ltd, a British Virgin Islands-based company that is not a telecommunications carrier, and which is a wholly owned subsidiary of TeleNova Corporation. TeleNova International Ltd. in turn wholly owns TeleNova Comunicacoes, a Brazilian provider of internet telephony services, and TeleNova Argentina S.A., an Argentinian provider of internet telephony services. Internet telephony is not at this point regulated as a telecommunications service in the United States, Brazil or Argentina, and therefore, TeleNova, the applicant, is not affiliated with a foreign teleconirnunications carrier under current regulations. (j) Applicant certifies that it is not a foreign carrier, nor does it control a foreign carrier as defined in Section 63.09(d), in any country. Applicant further certifies that no owner controls a foreign carrier in any country. Finally, Applicant certifies that no two or more foreign carriers, or parties that control foreign carriers, own more that 25% of the applicant, or are parties to or beneficiaries of a contractual relation affecting the provision or marketing of international basic telecommunications services in the United States. (n) TeleNova certifies that it has not agreed to accept special concessions directly or indirectly from any foreign carrier with respect to any U.S. international route, where the foreign carrier possesses sufficient market power on the foreign end of the route to affect competition adversely in the U.S. market, and will not enter into such agreements in the future. (o) TeleNova certifies that neither TeleNova Communications Corporation nor any party to this application is subject to a denial of Federal benefits, as provided in the Anti-Drug Abuse Act of 1988,21 U.S.C. 853a. Conclusion TeleNova Communications Corporation requests streamlined processing of this application pursuant to Section 63.12. In support of this request, TeleNova states that it is not affiliated with a foreign carrier in a destination market, is not affiliated with a dominant U.S. carrier whose international switched or private line services it plans to resell, nor does it seek authority to provide switched basic services over private lines to a country for which the Commission has not previously authorized the provision of switched services over private lines. As demonstrated in this application, TeleNova is legally, financially and technically qualified to provide the services for which it requests authority. For the reasons stated above, applicant submits that the public interest, convenience and necessity would be furthered by a grant of this Section 214 application.
