TERMINATION AGREEMENT This Termination Agreement is made as of the date of the last signature affixed hereto by officials with the authority to bind the U.S. Department of Justice (“DOJ”) and the U.S. Department of Homeland Security (“DHS”, and together with DOJ, the “U.S. Government Parties”), as well as by official representatives of American Samoa Hawaii Cable, LLC (“ASHC”), Samoa American Samoa Cable, LLC (“SASC”), American Samoa License, Inc. (“ASLI”), and AST Telecom, LLC d/b/a Blue Sky Communications (“Blue Sky”) (collectively, “Licensees”), in relation to the February 2, 2011, agreement (“Agreement”) among the U.S. Government Parties and the Licensees. The U.S. Government Parties and the Licensees hereby affirm that, in connection with the transfer to Amalgamated Telecom Holdings Limited (“ATH”) of control of certain Federal Communications Commission (“FCC”) licenses and authorizations held by the Licensees relating to the American Samoa-Hawaii Cable System, a fiber-optic submarine cable system between the United States and the Independent State of Samoa, ATH, through a Letter of Assurance to DHS dated May 7, 2018 (the “Letter of Assurances”), has undertaken to comply with the obligations of Licensees previously set forth in the Agreement, as modified and updated as set forth in the Letter of Assurances, thereby obviating the need to continue the Agreement. Per Section 7.6 of the Agreement, the U.S. Government Parties and Licensees herein agree that the Agreement is irrevocably terminated as of the date of the last signature affixed to this Termination Agreement. All of the rights therein are hereby irrevocably relinquished and surrendered; and all obligations and duties owed or required to be performed thereunder are hereby irrevocably waived and released. This Termination Agreement may be executed in counterparts, and delivery of counterpart signatures may be by facsimile or other electronic means, including “pdf” transmission.
