Consent to Use 1, 10MHz Channel Block within Call Signs WNC851 and WLX370


Dear Ms. Gombault:

Nextel Spectrum Acquisition Corporation and Fixed Wireless Holdings, Inc., wholly—owned
subsidiaries of Clearwire Corporation ("Clearwire") are the lessees ofEBS Stations WNC851
and WLX370. These stations have a geographic service area covering the Las Vegas, NV area.

Thales USA, Inc. Thales has requested Clearwire‘s consent to use Channels WNCS851 and
WLX370 at 2.575 GHz in Las Vegas, NV (the "Spectrum") to demonstrate a Public Service
Broadband system to potential customers and partners during the IWCE conference from
February 20, 2012 through February 25, 2012.

By its signature below, Clearwire hereby consents to Thales® use of the Spectrum on a temporary
basis for a Public Service Broadband system demonstration. Thales agrees to operate solely
within the parameters detailed in Exhibit A. Thales agrees to operate on the Spectrum atits sole
cost and expense in accordance with the rules and regulations of the Federal Communications
Commission, and to take all necessary steps to cause no interference to any operations and to
protect and preserve the status of the licenses associated with the Spectrum. The experimental
application submitted by Thales on January 26, 2012 is still pending with the FCC.

Thales will pay all reasonable out of pocket costs incurred by Clearwire to obtain consents from
the EBS licensees [if applicable], up to $1,000. Clearwire will notify Thales when we become
aware of any bills. Thales further agrees to indemnify Clearwire against any damages caused by
their temporary operation of the Spectrum, including, without limitation, the payment of any
fines levied by the FCC or otherregulatory authority for any improper use ofthe Spectrum, such
as, but not limited to, interference with other channels.

Without limiting the foregoing, Thales agrees to work with Clearwire to ensure no adverse
effects on the local Clearwire network operations. Thales agrees that in the event of interference,
within four (4) hours oforal or written notice, it will immediately cease any use of the Spectrum,
until any interference issues are resolved to Clearwire‘s satisfaction. Clearwire reserves the right
to terminate or substitute the use of someor the entire Spectrum, with 30 days prior notice.
