                                 Explanation of Transaction


       Sprint Communications Company, L.P., a wholly owned subsidiary of Sprint Nextel
Corporation (collectively “Sprint”), respectfully requests authorization to facilitate testing of
wireless backhaul technology and equipment at Sprint’s campus in Overland Park, Kansas.

        Sprint is specifically requesting authorization to temporarily transmit on the WCS A
block frequencies (2305-2310/2350-2355 MHz) for testing purposes. NextWave Wireless, Inc.
(“NextWave”) is the licensee of KNLB306, WCS Channel Block A in MEA029 – Kansas City,
which includes Sprint’s Overland Park, Kansas campus where the testing will occur. NextWave
currently has no operations in the vicinity of the Sprint Overland Park campus and has also
provided their concurrence with the submission of this application.

        Sprint’s proposed testing of new and innovative backhaul solutions using WCS spectrum
will be conducted wholly within the Sprint campus. The tests will be used to evaluate backhaul
solutions to support Sprint’s Network Vision and related broadband deployment initiatives.
