Description of the Transaction and Public Interest Statement

This application seeks Commission consent to transfer control of experimental licenses
held by SpiderCloud Wireless, Inc. (“Spider Cloud”) to Corning Incorporated (“Corning”). The
parties are contemplating a transaction whereby a wholly-owned indirect subsidiary of Corning
will merge into SpiderCloud, causing SpiderCloud to become a wholly-owned indirect
subsidiary of Corning.

The transaction will serve the public interest. SpiderCloud develops breakthrough, small
cell network platforms that allow mobile operators to deliver unprecedented cellular coverage,
capacity and smart applications to enterprises. The transaction will give SpiderCloud access to
Corning’s capabilities and resources as it continues that work.
