$FCC Form 703 Exhibit A Description of the Application This application seeks consent to a pro forma transfer of control of the experimental license call signs WE2XUB, WE2XUC, and WE2XUD held by OnStar, LLC (the “Licensee”) from General Motors LLC (the “Transferor”) to General Motors Holdings LLC (the “Transferee”), a holding company with the same ultimate ownership as the Transferor. Under the proposed transaction, the Transferor will transfer its equity interests in the Licensee to the Transferee, which will result in a pro forma transfer of control of the FCC licenses that are the subject of this filing. As part of this transaction, General Motors Holding Company, the ultimate parent company of the Licensee, Transferor, and the Transferee, will be re-named General Motors Company. This pro forma transfer of control serves the public interest because it will allow for the efficient post-bankruptcy reorganization of General Motors and will ensure that the FCC licenses continue to be put to productive use by the Licensee.1 1 Barbara Lister-Tait is certifying this application on behalf of the Transferor, identified as General Motors LLC above. Barbara Lister-Tait is currently Assistant Secretary of General Motors Company and will remain in that position at General Motors LLC. Before the pro forma transfer of control described herein takes place, General Motors Company will be converted into General Motors LLC.
