$FCC Form 703 Exhibit A Description of the Application This application seeks consent to an involuntary transfer of control from General Motors Corporation (“GMC”) to General Motors Corporation, Debtor-in-Possession of the experimental license call signs WE2XUB, WE2XUC, and WE2XUD, authorized to GMC’s wholly-owned subsidiary, OnStar, LLC (the “Licensee”). On June 1, 2009, GMC filed a voluntary petition for protection under Chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”).1 As a result of this bankruptcy filing, and in accordance with the U.S. Bankruptcy Code, GMC is currently operating as a debtor-in- possession under supervision of the Bankruptcy Court. The designation of GMC as a debtor-in-possession has resulted in an involuntary transfer of control of all of the assets controlled by GMC, including the experimental licenses that are the subject of this application. Commission consent to the involuntary transfer of control of the experimental licenses held by the Licensee will serve the public interest by enabling the company to reorganize under the supervision of the Bankruptcy Court and ensuring that the stations covered by this application continue to be put to productive use. As an additional clarification, the actual licensee of the experimental licenses is the Licensee, as named above. On February 17, 2009, the Licensee’s legal counsel notified the Commission by electronic mail of a clerical error on the license applications, which incorrectly identified the licensee as “GM ONSTAR.” On the same date, the Licensee requested that the Commission remedy this error by updating the licensee name to read “OnStar, LLC.” 1 See In re General Motors Corporation, Debtor, Case No. 09-50026 (REG) (Bankr.
