                    Description of Transaction and Public Interest Statement

         The applicants seek Federal Communications Commission (“FCC”) consent to the proposed
pro forma assignment of the experimental licenses held by OnStar, LLC (“Assignor”) to General
Motors Research Corporation (“Assignee”). Both the Assignor and Assignee are wholly owned
indirect subsidiaries of General Motors Corporation (“GM”). Pursuant to Section 5.59(a)(3), the
assignment requires Commission consent because the Assignee will have “the legal right to control
the use and operation of the [experimental licenses].” 47 C.F.R. § 5.59(a)(3). The licensee for the
experimental licenses will change but the experimental licenses will continue to be held by an
indirect, wholly owned subsidiary of GM.

        The parties submit that the grant of this application is in the public interest, convenience and
necessity, as it will allow for the continued and uninterrupted development and manufacturing of
innovative wireless equipment and/or services, including, for example, services that facilitate the
safety of automobile passengers. This assignment is intended to consolidate the experimental FCC
licenses held by GM and its subsidiaries with the Assignee. Consolidating the licenses will allow GM
to more efficiently assess the experimental licenses available to its researchers, thereby streamlining
the research process and licensee administrative duties. Accordingly, a grant of this application
would serve the public interest.
