Motient Services Inc. (Assignor) and Mobile Satellite Ventures Subsidiary LLC (Assignee) Exhibit to FCC Form 702 Call Sign WB9XKA Question 7 The proposed assignee, Mobile Satellite Ventures Subsidiary LLC, will be formed as a Delaware Limited Liability Company (“LLC”). Applicant has marked the box for “corporation” as there is no box on the Form 702 for an LLC. Questions 20a and 20b Mobile Satellite Ventures LLC (“MSV LLC”) was formed in June 2000 as a Delaware LLC, owned 80 percent by Motient Corporation. Motient Corporation wholly owns the current licensee of Call Sign WB9XKA, Motient Services Inc. Upon approval by the Commission of this application as well as the application filed on January 16, 2001 pursuant to which Motient Services Inc. applied to assign its earth and space station licenses and Section 214 authorizations to Mobile Satellite Ventures Subsidiary LLC,1 Mobile Satellite Ventures LLC, currently a Delaware LLC, will be converted into a Delaware limited partnership, Mobile Satellite Ventures L.P. (“MSV LP”), that will be managed by a Delaware corporate general partner, Mobile Satellite Ventures GP Inc. (“MSV GP Inc.”). In addition, the prospective assignee, Mobile Satellite Ventures Subsidiary LLC, will be formed as a Delaware LLC and as a wholly owned subsidiary of MSV LP. The ownership of MSV LP, the prospective parent of the prospective assignee, will be as indicated in the chart below.
