                                   Consent to Transfer of Control


      This Exhibit A accompanies an application whereby LoJack Corporation
(“LoJack”) seeks consent to transfer control of its three experimental authorizations to
CalAmp Corporation (“CalAmp”). The authorizations are operated under the call signs
KS2XBH, WH2XYS, and WD2XYL.

      CalAmp acquired LoJack in a stock transaction that was completed on March 18,
2016. Under the terms of the acquisition, LoJack Corporation operates as a wholly-
owned subsidiary of CalAmp.

       Due to an oversight, LoJack did not seek prior Commission approval for transfer
of control of the three experimental licenses before the transfer of control to CalAmp
was consummated.1 These are the only radio licenses held by LoJack.2 CalAmp and
LoJack have instituted measures to make certain their employees are familiar with the
requirements for prior Commission approval of transfers of control of radio licenses.

       Grant of LoJack’s transfer of control application is in the public interest. A grant
will enable LoJack to continue using its experimental licenses in support of on-going
testing of new vehicle and equipment theft recovery products.




1 Accordingly, the parties cannot make the certification called for in FCC Form 703 that control will not be
transferred until the Commission's consent has been received. There is no place in Form 703 for
qualifying this certification, so LoJack is providing an explanation in this exhibit instead.
2 LoJack also holds equipment authorizations for which notification of a transfer of control will be given

within 60 days of consummation, as the Commission’s rules require. See 47 CFR § 2.926(d).
