Thrane & Thrane files this application in order to effectuate the terms of
a Stock Purchase Agreement between the parties dated August 19, 2003.
Pursuant to that Agreement, the current shareholders of LandSea, owning
100% of its common stock, have agreed to sell their shares to Thrane &
Thrane, a corporation organized and existing under the laws of the Kingdom of
Denmark. Neither Thrane & Thrane nor any of its shareholders, affiliates,
officers or directors is a foreign carrier.
Thrane & Thrane is one of the world’s leading manufacturers of
terminals and land earth stations for global mobile satellite communication.
Since its incorporation in 1981, the company has established a strong position
within global mobile satellite services based on the Inmarsat system, and today
it provides equipment for land-based, maritime and aeronautical use. Further
