clearw‘re 815 Connecticut Avenue, N.W. , Suite 610 Washington, D.C. 20006 June 5, 2009 Gedon Rosner, Program Manager Mobile Wireless Group Intel Corporation PTK, Israel Re: EXPERIMENTAL APPLICATION EXTENSION OF SPECIAL TEMPORARY AUTHORITY Consent to Use of BRS BTAs BRS Stations WHT659, WNEY445, WNEK840 and WHJ920 Herndon, Virginia and Washington, DC WHT647 and WHT648, Portland, Oregon Dear Mr. Rosner: NSAC, LLC , a wholly—owned subsidiary of Clearwire Corporation ("Clearwire") is the licensee of BRS Stations WNEY445 (H1), WNEK840 (H2) and WHJ920 (H3). In addition, Clearwire is the De Facto Lessee of BRS Station WHT659 (F123, Lease Identifier LO00000285 ) held by F Corporation. These stations have a geographic service area covering the Herndon, VA and Washington, DC area. American Telecasting of Portland, LLC, a wholly—owned subsidiary of Clearwire Corporation ("Clearwire") is the licensee of BRS Stations WHT647 (E1234) and WHT648 (F1234). These stations have a geographic service area covering the Portland, Oregon area. Intel Corporation("Intel") has requested Clearwire‘s consent to Intel‘s temporary use of Channels F123, H1, H2, and H3 in Washington, DC and Channels E123 and F123 in Portland, Oregon (the "Spectrum") in conjunction with its Extension of Experimental Special Temporary Authority ("STA") to conduct equipment testing from August 1 through November 1, 2009. By their signatures below, Clearwire and F Corporation hereby consent to Intel‘s use ofthe Spectrum on a temporary basis for equipment testing.. Intel agrees to operate on the Spectrum in accordance with the rules and regulations of the Federal Communications Commission, and to take all necessary steps to cause no interference to any current operations and to protect and preserve the status of the Licenses and Leases associated with the Spectrum. Intel further agree to indemnify Clearwire and F Corporation against any damages caused by their temporary operation of the Spectrum, including, without limitation, the payment of any fines levied by the FCC or other regulatory authority for any improper use of the Spectrum, such as interference with other channels. Without limiting the foregoing, Intel agrees that in the event ofinterference, it will immediately cease any use of the Spectrum, until any interference issues that might arise are resolved to your satisfaction.
