Exhibit This application ("Application") seeks Commission consent to the pro forma assignment with respect to the facilities authorized under experimental Station WG2XVH and the license itself (the "Station") from DRS Technical Services, Inc. ("Assignor‘") to DRS ICAS, LLC ("Assignee"). For internal business reasons, the parties have agreed to effectuate an assignment of the Station‘s facilitates from Assignor to Assignee. This Application seeks Commission consent to effectuate such transaction. The proposed transaction is pro forma in nature. Specifically, the transaction involves an assignment of the Station‘s license and the facilities licensed thereunder from Assignor to Assignee, with both entities being wholly—owned subsidiaries of their ultimate corporate parent Finmeccanica — Societa per azioni ("Finmeccanica") — an Italian corporation a majority of whose stock is publicly traded. As such, the transaction does not constitute a "substantial change in ownership or control" of the subject license pursuant to Section 309(c)(2)(B) of the Communications Act of 1934, as amended, 47 U.S.C. § 309(c)(2)(B). Due to the nature of the license involved in this matter, a foreign ownership ruling pursuant to Section 310(b)(4) of the Communications Act is not required. This application is the only application being filed at this time in connection with this matter. No other applications are being filed with other Commission Bureaus with respect to other licenses held by the Assignor entity. Upon grant of the Application and completion of the transaction, Assignee will have Commission authorization to operate the facilities under the Station‘s license, and become the licensee of the Station. As licensee, Assignee will continue to operate the Station consistent with the authority previously issued by the Commission. As demonstrated in the Application, Assignee has the qualifications necessary to become the Commission licensee for the Station. For the foregoing reasons, it is respectfully submitted that the proposed transaction will serve the public interest.
