                                         Description of the Matter

        On January 31, 2014, JVC KENWOOD Corporation (FRN 0023323157) (“JVCK”) entered
into a definitive agreement to acquire EF Johnson Technologies, Inc., the parent company of
FCC licensee E.F. Johnson Company (FRN 0004201521) (“EFJ”). EFJ holds the following FCC
licenses:

        We note that EFJ will remain a separate legal entity, and will continue to directly hold
these licenses after the closing of the transaction, currently scheduled for first quarter 2014.
Given that EFJ’s parent company will have a new controlling interest holder upon closing, EFJ
and JVCK hereby submit: (1) FCC Form 603, for consent to transfer control of FCC license
KLJ860; and (2) FCC Form 703, for consent to transfer control of FCC experimental licenses
KA2XXK, KO2XDW, WD2XHY, and WE2XVA.

       Finally, although JVCK is a corporation organized under the laws of Japan, this
transaction is not subject to Section 301(b) of the Communications Act of 1934, as amended,
because the licenses at issue are neither broadcast, nor common carrier, aeronautical en route
or aeronautical fixed radio station licenses.
