(“Aerial”) and VoiceStream Wireless Holding Corporation (“VoiceStream Holding”) hereby amend Attachment 1 to clarify the above-referenced application that the transaction for which Commission consent is sought is a transfer of control rather than an assignment of license. Upon consummation of the transaction, control of the licensee will be transferred from Telephone and Data Systems, Inc. to VoiceStream Holding. Both parties hereby certify that they are not subject to a denial of federal benefits pursuant to Section 5301 of the Anti-Drug Abuse Act of 1988, 21 U.S.C. §862. G:\WP\1034-38\amend.A10$
